Terms of Service
Last updated: 17 October 2026
1. Parties
These Terms of Service govern the website https://jumingsheng.com (the “Site”) and all wholesale orders between you (the “Buyer”) and HK JUMINGSHENG INTERNATIONAL TRADING LIMITED, a company registered in Hong Kong under CR No. 81349081 (“GRANDMARK”, “we”, “us”), with goods manufactured and shipped from our workshops in Foshan, Guangdong, China.
2. Eligibility & business model
The Site is a business-to-business (B2B) wholesale platform. The Site and all quotations are intended for business buyers, importers, distributors, retailers and brand owners. By placing an order you confirm that you are a business purchasing for resale or commercial use, acting in the course of business, and not an individual consumer. We do not sell to consumers, and no consumer-protection or distance-selling rights apply to orders on this Site. Nothing on the Site is an offer to individual consumers.
3. Quotations and proforma invoices
3.1 Every order is confirmed by a proforma invoice (“PI”) issued by GRANDMARK. A PI is valid for fourteen (14) days from its date unless otherwise stated.
3.2 Prices are quoted in US dollars and on either FOB or CIF terms, as selected by the Buyer and stated on the PI (see Section 5).
3.3 Prices, specifications, minimum order quantities, lead times and packing details stated on the PI prevail over any general statement on the Site. Real product images, swatches and specifications prevail over marketing descriptions.
4. Ordering, MOQ and quantity tolerance
4.1 Minimum order quantity (“MOQ”) is stated on the PI and varies by product line, material and private-label requirements.
4.2 Because footwear is produced in production runs, a quantity tolerance of plus or minus five percent (±5%) per style is allowed; invoices are settled on the actual shipped quantity.
4.3 Orders may be combined in a single container for freight efficiency. Carton packing, shipping marks and private-label packaging must be specified before production starts.
5. Trade terms — FOB or CIF (Incoterms 2020)
All trade terms are Incoterms® 2020, published by the International Chamber of Commerce. The Buyer chooses one of the following on each PI:
(a) FOB — Free On Board (named Chinese port). Available ports are Shenzhen Yantian, Shekou or Guangzhou Nansha. The unit price covers the goods loaded on board the vessel. The Buyer arranges and pays ocean freight, insurance after loading, destination port charges and on-carriage. Risk passes when the goods are on board the vessel.
(b) CIF — Cost, Insurance and Freight (named port of destination). The price includes ocean freight and cargo insurance to the named destination port. Insurance is taken out for 110% of the CIF value under Institute Cargo Clauses (C); broader cover (Clauses B or A) can be arranged at the Buyer’s request and cost. Risk still passes when the goods are on board the vessel at the Chinese port of shipment; the Buyer remains the importer of record and handles customs clearance, duties, VAT and on-carriage.
5.3 Other Incoterms (EXW, FCA, CFR, DAP, DDP) can be quoted on request; DDP is subject to the Buyer providing a valid import account and tax registration.
6. Payment
6.1 Standard terms are 30% deposit by T/T to start production, with the remaining 70% payable before shipment or against a copy of the bill of lading (B/L).
6.2 An irrevocable documentary letter of credit at sight (L/C) is accepted for orders of USD 30,000 or above; the draft L/C must be agreed before issuance.
6.3 Sample fees and courier charges are paid before samples are dispatched; sample fees are credited against the subsequent bulk order (see Section 7).
6.4 Orders are not released until full payment has been received and cleared. Bank charges outside Hong Kong and mainland China are borne by the Buyer.
7. Samples
7.1 Digital mock-ups are provided free. Physical counter samples are charged per style and shipped by international courier (DHL/FedEx/UPS) at the Buyer’s cost.
7.2 The sample fee is refundable or deductible from the bulk order balance once the corresponding order is confirmed; fully custom samples (the Buyer’s own last, logo or packaging) are non-refundable.
7.3 Sample approval is the Buyer’s confirmation of style, materials, colours, fit and workmanship. Mass production begins only after written sample approval and receipt of the deposit.
8. Lead times
8.1 Samples are dispatched within 3–7 working days after approval of artwork and payment.
8.2 In-stock styles ship within 7–15 days of confirmed deposit.
8.3 Made-to-order and private-label production is normally completed 35–50 days after deposit and sample approval, depending on quantity, materials and season; the confirmed schedule is stated on the PI. Lead times are estimates and do not include shipping or customs clearance.
9. Quality control and inspection
9.1 Goods are produced to agreed AQL 2.5 inspection level. Final inspection reports are available on request.
9.2 The Buyer may appoint its own or a third-party inspection company to inspect before shipment, after the deposit is paid and with reasonable notice; defects found at pre-shipment inspection are corrected before dispatch.
9.3 Leather is a natural material: differences in grain, texture and dye lot, and the hand-finished character of patina or hand-burnished uppers, are not defects. Reasonable colour and dimension tolerances apply.
10. Limited warranty and claims
10.1 We warrant that goods conform to the approved samples and specifications. Warranty claims for manufacturing defects must be submitted within 30 days of arrival; visible damage, shortages or wrong styles must be reported within 7 days of arrival, with photographs, the packing list and, where applicable, a third-party inspection report.
10.2 After verifying a claim, we will, at our option, replace the defective pairs, issue a credit note, or refund the affected amount. Our liability for any order is limited to the value of the affected goods and, in total, the order value. We are not liable for indirect or consequential loss, including lost profits or downstream penalties.
10.3 Damage caused by misuse, improper storage, normal wear, or after further processing or resale is not covered.
11. Order changes and cancellation
11.1 Changes requested after production starts are accepted only if feasible and the Buyer pays additional material, labour and scheduling costs.
11.2 Cancellation before production begins: the deposit is refunded less costs already incurred. After materials have been purchased or production has begun, the deposit is non-refundable; cancellation after production is completed incurs payment for the finished goods.
11.3 Tailor-made and private-label goods produced to the Buyer’s specifications cannot be cancelled or returned once production has started.
12. Import & regulatory compliance
12.1 The Buyer is the importer of record. GRANDMARK sells goods for export from Hong Kong/China and does not place the goods on the market of your destination country. The Buyer is the importer of record and, where applicable, the responsible economic operator under the laws of the destination market, including the EU General Product Safety Regulation and market-surveillance rules, the UK product-safety regime, and US customs and product regulations.
12.2 Buyer responsibilities. The Buyer is solely responsible for: clearing the goods through customs; import licences and import documentation; all duties, tariffs, VAT, sales/use taxes and other taxes; product-safety, labeling, country-of-origin and restricted-substance requirements in the destination market; and any registration, authorization, responsible-person or authorized-representative requirement that applies when the goods are placed on that market or resold. The Buyer must ensure that the goods are lawfully imported and resold.
12.3 What GRANDMARK provides. We supply the standard export documents (commercial invoice, packing list, certificate of origin and bill of lading) and, where agreed in advance, product compliance and testing documentation to support the Buyer’s import file. Providing these does not make GRANDMARK the importer, responsible person or distributor in the destination market, and does not transfer the Buyer’s statutory obligations to GRANDMARK.
12.4 No destination compliance guarantee. Requirements differ between markets and change frequently. Destination standards required (e.g. materials, labeling, or SABER) must be stated before order confirmation. GRANDMARK does not warrant that the goods meet every requirement of the destination market, and the Buyer should satisfy itself on local rules before ordering. Goods may not be refused, returned or charged back, and duties and taxes will not be borne by GRANDMARK, on grounds of destination import or product rules that are the Buyer’s responsibility under this section.
13. Intellectual property
We retain all rights in GRANDMARK designs, materials, photographs, marks and the Site. The Buyer retains rights in its own brand assets and confirms it has the right to use all artwork, logos and designs supplied; the Buyer indemnifies us against claims arising from materials it provides. Private-label tooling, lasts and moulds arrangements are confirmed per project.
14. Confidentiality
Drawings, pricing, samples and quotation information exchanged between the parties are confidential and may not be disclosed to third parties without prior written consent.
15. Force majeure
Neither party is liable for delays or failure caused by events beyond reasonable control, including natural disasters, war, pandemic, government or export controls, port closures, strikes, shortages of materials or power, and shipping interruptions. The affected party must notify the other promptly and the schedule is extended accordingly.
16. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, China; to the extent that manufacturing, quality control and other performance obligations are carried out in mainland China, the mandatory laws and regulations of the People’s Republic of China also apply.
Disputes are first resolved by friendly negotiation. If unresolved within thirty (30) days, they are referred to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in Hong Kong under its rules in force, and the award is final and binding. The parties may also agree in writing to a competent arbitration body or court in mainland China.
17. General
These Terms, together with the PI, form the entire agreement for each order and prevail over conflicting terms on the Buyer’s purchase order. Notices are sent to admin@jumingsheng.com or to the address in Section 18. We may update these Terms; the version in force on the PI date applies.
